IP Shares Terms

1. Legal Nature

An IP Share is a contractually constituted fractional interest in rights relating to a specified Intellectual Property Portfolio, carrying the economic and information rights expressly set out in the agreement. The relevant IP Portfolio must be identified in the Allocation Statement and the round documents.

2. Holder’s Rights

An IP Share confers: the right to a proportionate royalty; the right to participate in a buyback if offered by the Seller; the right to an entry in the Register and a statement/certificate; and annual information rights.

An IP Share does not confer any right or interest in real estate, any interest in share capital, any shares, voting rights, any right to manage the IP Portfolio or the Operating Company, any guaranteed return or any guaranteed buyback.

3. Registration and Term

IP Shares are recorded in the Register by number against the relevant User ID. An interest continues indefinitely unless and until it is transferred, extinguished upon a buyback or terminated on another lawful ground. The rights may pass by inheritance or succession.

4. Transfers to Third Parties

A transfer is permitted only with the Seller’s prior compliance approval and subject to the new holder successfully completing the required checks. Once the transfer is registered, the new holder acquires the rights attaching to the IP Shares and assumes the corresponding contractual obligations. Holding or management on trust is permitted subject to the same requirements.

5. No Guarantees

The Seller does not guarantee the amount or frequency of royalties, the financial performance of the Operating Company, the occurrence of any buyback, liquidity or any increase in the value of the IP Shares.

Published programme document. If a later signed version is issued by the parties, that version prevails in case of conflict.
